2. Description of the Service
The Service Provider gives the Subscriber online access to and use of the ordered software for the subscription term. The scope and features are described on the order page. A subscription does not transfer ownership of the software; it grants only a non-transferable right of use.
3. Fees and Payment
The subscription fee is shown in the order summary. The first period's fee is collected at checkout; later periods are invoiced separately according to the selected monthly or yearly term. VAT is added, or expressly stated as included. Payment is made by bank transfer or other methods offered.
4. Renewal
Unless the Subscriber gives notice of termination, the subscription renews at the end of each term for the same duration. The invoice for a renewal term is issued at the start of that term.
5. Price Changes
The Service Provider may change the subscription fee. The change is notified to the Subscriber by e-mail at least 30 days before it takes effect and applies only from the next renewal term. A Subscriber who does not accept the new fee may give notice of termination before the renewal date.
6. Non-Payment and Suspension
If a payment is not made when due, the Service Provider warns the Subscriber in writing. If payment is still not made within a reasonable time after the warning, the service may be suspended. A suspended service is reopened upon payment. Suspension does not remove the Subscriber's payment obligation.
7. Cancellation and Termination
- The Subscriber may end the subscription by written notice to [email protected] or by opening a support request in the member portal. Termination takes effect at the end of the current paid term.
- As stated on the Cancellation and Refund page, the fee paid for the current term is not refunded; the Subscriber may keep using the service until the end of that term.
- The Service Provider may terminate the agreement by notice if the Subscriber seriously breaches it.
8. Data Export and Deletion
For 30 days after the termination date, the Subscriber may request a copy of its data, which the Service Provider delivers in a common format. After this period the Subscriber's data is deleted from the systems or anonymised, subject to statutory retention obligations.
9. Service Level
The Service Provider provides the service with reasonable care and in line with industry practice and announces planned maintenance in advance where possible. This agreement does not promise a specific uptime percentage; the Service Provider is not liable for interruptions caused by power, internet, third-party infrastructure providers or force majeure.
10. Personal Data and Roles of the Parties
Where the Subscriber uploads personal data of its own customers or users to the service, then under KVKK the Subscriber is the data controller for that data and the Service Provider is the data processor acting on the Subscriber's behalf and instructions. The Service Provider processes it only to provide the service, takes the necessary technical and organisational measures and does not disclose it to third parties. For data about the Subscriber's own account, the Service Provider is the data controller and the KVKK Information Notice applies.
11. Liability
Except in cases of intent or gross negligence and cases that cannot be limited by law, the Service Provider's total liability is limited to the subscription fees paid for the period in which the damage arose. No liability is accepted for indirect damages, loss of profit or data loss. The Subscriber is responsible for backing up its own data.
12. Right of Withdrawal
For consumer Subscribers, the exception to the right of withdrawal for electronic services performed instantly is explained in the Distance Sales Agreement and Pre-Contract Information Form and is confirmed separately at checkout. For Subscribers who are merchants or companies, consumer-law withdrawal rights do not apply.
13. Governing Law and Jurisdiction
Turkish law applies. The courts and enforcement offices of Aydın are competent; if the Subscriber is a consumer, the jurisdiction rules of consumer legislation are reserved.
14. Entry into Force and Records
The agreement enters into force when the Subscriber ticks the checkbox at checkout and completes the order. The acceptance date, version and IP address are recorded.
