2. Subject and Nature of the Licence
Upon payment, the Licensor grants the Licensee a non-transferable, non-exclusive, perpetual right to use the ordered software. The licence grants only the right of use defined in this agreement, not ownership of the software.
3. Scope of Use and Limits
- The software is used for the domain or installation stated by the Licensee in the order. Unless expressly stated otherwise in writing, each licence covers a single domain and a single installation.
- Additional domains or installations require a separate licence.
- The Licensee may use the software for its own business or a single project of its own client; it may not sell, rent, transfer, sublicense or share the software, copies of it, or the licence with third parties.
- The Licensee may not attempt to reverse engineer the source code and may not remove copyright or licence notices.
4. Intellectual Property and Source Code
All intellectual and industrial property rights in the software and its components remain with the Licensor or its licensors. Source code is not delivered unless expressly stated in the delivery package. Rights in content supplied by the Licensee (its own logos, texts, images and data) belong to the Licensee.
5. Delivery
After payment is confirmed, the software is delivered electronically through the Licensor's automatic delivery system. Delivery details are set out in the Distance Sales Agreement. Installation or customisation is provided only where expressly included in the package.
6. Updates and Technical Support
The Licensor provides 1 (one) month of free technical support from the delivery date. It covers answering questions on installation and use and fixing defects originating in the software. Support, maintenance and new-version requests after this period are quoted separately and may be charged. Custom development and change requests are outside the support scope.
7. Warranty and Limitations
The software is provided in line with its described features. The Licensor does not promise that it will suit the Licensee's particular needs or run uninterrupted or error-free. Issues caused by the Licensee modifying the software, running it in an unsuitable environment, or by third-party components are outside support. Mandatory rights under law are reserved.
8. Fee and Refund
The licence fee is shown in the order summary and collected at payment. As stated on the Cancellation and Refund page, no refunds are made for digital products that have been paid for and delivered.
9. Liability
Except in cases of intent or gross negligence and cases that cannot be limited by law, the Licensor's total liability under this agreement is limited to the fee paid for the relevant licence. The Licensor is not liable for indirect damages, loss of profit, data loss, or damages arising from use of the software with the Licensee's own data. Taking data backups is the Licensee's responsibility.
10. Termination
If the Licensee breaches this agreement, in particular the usage limits and the prohibition on transfer, the Licensor may terminate it by notice; the licence then ends and the fee is not refunded. On termination the Licensee stops using the software.
11. Governing Law and Jurisdiction
Turkish law applies. The courts and enforcement offices of Aydın are competent; if the Licensee is a consumer, the jurisdiction rules of consumer legislation are reserved.
12. Entry into Force and Records
The agreement enters into force when the Licensee ticks the checkbox at checkout and completes the order. The acceptance date, version and IP address are recorded.
